Disagreements have flared up again in the industrial giant Tata Sons. Tata Trusts Chairman Noel Tata has expressed strong objections to the reappointment of N. Chandrasekaran as Executive Chairman. He has written to the Tata Sons board questioning the procedures followed in the board meeting held in September. He has demanded the provision of minutes and video recording of that meeting. In

an email written on September 30, Noel Tata clarified that the reappointment of Chandrasekaran was not on the original agenda of the meeting. He criticised the fact that it was brought up for discussion under the item 'Debrief by NRC'. Tata Trusts, the majority shareholder of the group, has already declared that the resolution is illegal and has no legal value.

In the meeting held on September 17, Noel Tata, a nominee director of Tata Trusts, opposed the appointment. Another nominee director, Venu Srinivasan, supported the resolution. As the votes were tied, independent director Harish Manwani, who chaired the meeting, used his casting vote to get the resolution passed.

Tata Sons took legal advice from former CJI Justice UU Lalit and former Supreme Court judge Justice BN Srikrishna to defend this decision. They said that the casting vote is valid under Article 121 of the company. However, Tata Trusts, which is arguing that the two nominee directors must agree, is citing the opinion of former CJI Justice DY Chandrachud for its argument. This has further deepened the dispute within the Tata Group.
